Clause 4 of ISO/IEC 42001:2023 establishes the foundation for an AI Management System (AIMS) by requiring organizations to understand the environment in which their AI operates.

Context of the Organization – Implementation Guidance and Best Practices

Clause 4 of ISO/IEC 42001:2023 ensures that AI governance is tailored to the organization’s context, including business objectives, regulatory obligations, and stakeholder needs. In practice, Clause 4 compels an organization to identify internal and external factors that can impact its AIMS, determine who has interest in or requirements for its AI, define the scope of the AIMS, and then build the management system accordingly. 

This clause consists of four sub-clauses:

  • 4.1 – Understanding the organization and its context: Evaluate internal and external issues relevant to the organization’s purpose and the intended outcomes of its AI management system.
  • 4.2 – Understanding the needs and expectations of interested parties: Identify stakeholders (interested parties) relevant to the AIMS, determine their requirements, and decide which will be addressed in the AIMS.
  • 4.3 – Determining the scope of the AI management system: Define the boundaries and applicability of the AIMS, considering the context and stakeholder requirements, and document the scope.
  • 4.4 – AI management system: Establish, implement, maintain, and continually improve the AIMS (the set of policies, processes, and controls) in line with ISO 42001’s requirements.

Each of these elements is explained in detail below, along with guidance on how to effectively implement them in an organization.

Clause 4.1 – Understanding the Organization and Its Context

Clause 4.1 requires the organization to analyze both external and internal issues that are relevant to its purpose and that affect its ability to achieve the intended results of the AIMS.

In other words, the organization must take stock of the environment in which it operates – from industry trends and laws to internal strategies and processes – as a prerequisite to effective AI governance.

This assessment ensures that the AIMS is grounded in reality and aligned with factors that could influence AI outcomes.

Best Practices for Implementation

  • Systematic Context Analysis: Use frameworks like SWOT (Strengths, Weaknesses, Opportunities, Threats) or PESTLE (Political, Economic, Social, Technological, Legal, Environmental) to brainstorm all relevant factors.
    For external context, consider each PESTLE category: e.g. political/regulatory factors (upcoming AI laws or government policies), economic factors (market competition or incentives for AI adoption), social factors (public opinion on AI ethics), technological factors (new AI innovations or industry standards), legal factors (compliance requirements, bans on certain AI uses), and environmental factors (climate impacts, sustainability goals).
    For internal context, evaluate your organization’s strategy and objectives related to AI, corporate governance and culture, available skills and infrastructure, and internal policies or standards for AI development/use. Documenting these factors provides insight into what might enable or constrain your AI initiatives.
  • Include Climate and Sustainability Considerations: Even if climate change seems peripheral, take a moment to assess any environmental or sustainability aspects of your AI projects.
    This could range from the carbon footprint of AI model training to opportunities for AI to help meet the organization’s climate commitments. If relevant (e.g. you operate data centers with heavy power usage, or develop AI for climate science), explicitly note climate-related risks or objectives in your context analysis.
  • Identify Organizational Roles in AI: Clarify which AI roles your organization fulfills.
    Create a list of roles (provider, developer/producer, user, partner, etc.) and mark those that apply to your AI activities.
    For each role, consider the associated responsibilities: e.g., AI producers (developers/designers) should focus on technical robustness and testing, while AI providers need to address customer communication, transparency, and support. If multiple roles apply, ensure your AIMS covers the obligations of each role where you have control.
    (For instance, a company that both uses AI and sells an AI-powered product should address both the governance of internal AI use and the product’s lifecycle management for clients.)
  • Document the Context and Revisit Regularly: Capture the identified internal and external issues in a formal document (often called a “Context of the Organization” statement or part of an AI governance charter).
    This document might list key factors and why they are relevant.
    It should be accessible to stakeholders of the AIMS, as it provides the rationale behind many of your AI controls and policies.
    Importantly, treat this as a living document.
    Set a schedule (e.g. annual or semi-annual) to review and update the context analysis, or update it whenever a significant change occurs (such as entering a new market, a new law passing, a major incident, etc.).
    Regular updates ensure the AIMS stays aligned with the current context. 

Clause 4.2 – Understanding the Needs and Expectations of Interested Parties

Clause 4.2 extends the context analysis to the people and entities that have an interest in or influence on your AI management system – the interested parties (stakeholders).
The organization must identify who these stakeholders are, what their relevant requirements or expectations are, and then determine which of those requirements will be addressed through the AIMS.

Best Practices for Implementation

  • Stakeholder Analysis Workshop: Conduct a workshop or brainstorming session with cross-functional representatives to identify all possible stakeholders of your AI initiatives. Use categories (regulatory, customers, partners, internal, etc.) to ensure none are missed. For each stakeholder or stakeholder group, document their needs, expectations, or requirements regarding your AI. This could range from compliance demands (for regulators) to performance and ethical expectations (for customers and the public).
  • Prioritize and Map to AIMS: Evaluate which requirements are mandatory (e.g., laws, regulations, contract terms) and which are voluntary or aspirational (e.g., adopting industry best practices for ethical AI even if not legally required). Generally, all mandatory requirements must be included in your AIMS controls. For non-mandatory expectations, decide if addressing them will significantly benefit the organization (for instance, meeting a customer expectation for AI transparency could improve market reputation and trust). It’s often wise to incorporate key ethical expectations proactively, as these can become tomorrow’s regulations and help differentiate your organization positively. Clearly record which stakeholder requirements will be fulfilled through your AIMS – for example, you might create a matrix listing each interested party and how the AIMS addresses their concerns (some organizations integrate this into their requirements documentation or compliance matrices).
  • Integrate with Risk Assessment: Recognize that many stakeholder expectations will tie into your risk management and objectives. For instance, if customers expect privacy protection, this will surface in your AI risk assessment (Clause 6.1) as a risk of breaching privacy. 
  • Communication with Stakeholders: Although Clause 4.2 itself doesn’t explicitly require engaging stakeholders, in practice it’s beneficial to communicate with at least key stakeholders to verify their needs. For example, talking to a major client about their AI requirements or reviewing regulatory guidance documents can ensure you correctly understand their expectations. 

Clause 4.3 – Determining the Scope of the AI Management System

Clause 4.3 requires the organization to clearly define the scope of its AI Management System. This means deciding what parts of the organization, which locations, which products/services, and which AI systems or processes are covered by the AIMS. The scope defines the boundaries and applicability of the management system – essentially answering, “What does our AI management system include, and what is it focused on?” In determining scope, the standard says to consider the internal/external issues (from 4.1) and stakeholder requirements (from 4.2). The outcome of Clause 4.3 should be a documented statement of scope that the organization can communicate to interested parties and use as the basis for applying ISO 42001 requirements.

Best Practices for Implementation

  • Align Scope with Context and Stakeholders: Use the outputs from Clause 4.1 and 4.2 to guide scope. For instance, if your context analysis identified certain AI-related business objectives or risk areas, ensure the scope covers them. Similarly, if a regulator expects you to manage all AI in a particular product line, your scope should at least include that product line. Clause 4.3 explicitly links back to considering those issues and requirements when scoping. A good practice is to revisit the lists from 4.1 and 4.2 and ask, “Does our scope include everything that could significantly affect our AI risks and obligations?”
  • Be Specific and Avoid Ambiguity: Clearly articulate what is included and, if necessary, what is excluded. Ambiguity in scope can cause problems during certification audits or internal implementation. For example, stating “all AI systems” might be too broad if in reality some minor AI scripts are unmanaged – instead, define it in a way that no one is confused about coverage. If you exclude something (say, an AI tool used only for internal research), document why it’s excluded (perhaps it poses negligible risk and isn’t operational). This clarity helps ensure everyone knows where the AIMS applies.
  • Keep Scope Manageable: Especially for organizations new to ISO 42001, it might be pragmatic to start with a scope that is manageable in size and then expand later. Overly broad scopes can become unwieldy, while scopes that are too narrow might miss critical risks. Balance is key – include all important AI activities, but do not feel you must include business areas that currently have little to do with AI. The scope can evolve with the organization’s AI usage.
  • Document and Communicate the Scope: Once determined, formally record the scope. Ensure top management approves it (since scope defines the focus of compliance). Communicate the scope to relevant teams so they understand which projects or processes fall under the AIMS and need to adhere to its controls. Additionally, if external parties (like clients or regulators) inquire, you should be able to convey the scope succinctly. In some cases, organizations publish their AIMS scope in a public-facing document or include it in an internal policy manual.

Clause 4.4 – Establishing the AI Management System

Clause 4.4 is the capstone of Clause 4, requiring the organization to establish, implement, maintain, and continually improve an AI Management System. In essence, after understanding context (4.1), stakeholders (4.2), and defining scope (4.3), the organization must set up the actual management system for AI – a framework of policies, processes, and controls that will ensure AI is developed and used responsibly and in compliance with the standard. Clause 4.4 is a high-level mandate that the AIMS be put into operation and aligned with all the requirements of ISO 42001 (as elaborated in Clauses 5–10 and Annex A controls). 

Best Practices for Implementation

  • Leverage ISO Management Principles: Treat the AIMS establishment similar to other ISO management systems. Use a Plan-Do-Check-Act (PDCA) approach: Plan (you’ve defined context, requirements, scope – that’s planning), Do (implement the processes and controls), Check (monitor through audits and metrics), Act (improve based on findings). Clause 4.4 is essentially the transition from Plan to Do. Many organizations create an AI governance manual or framework document at this stage, outlining all the processes (this can mirror an ISMS manual for those familiar with ISO 27001).
  • Start with Key Policies and Controls: You don’t have to implement everything at once perfectly. Prioritize foundational elements: for example, ensure you have an AI risk assessment process running (as it will inform other decisions), establish an AI ethics or governance committee for oversight, implement high-impact controls (like data governance for AI, model validation procedures, etc.). Annex A of ISO 42001 provides a catalog of controls – use it as a reference to check that you have covered relevant practices. 
  • Training and Awareness: When rolling out the AIMS, invest in training programs (Clause 7.3 deals with awareness) so that all relevant personnel – from technical teams to management – understand the new AI governance processes. AIMS success depends on people following the procedures, so make sure they know their roles and the importance of compliance. This is particularly important for technical professionals who might be implementing new steps like bias checks or documentation tasks; they need to know this is now part of standard operating procedure for AI projects.
  • Monitor Early and Adjust: Once the AIMS processes are operational, monitor their effectiveness early on. It could be useful to set some initial KPIs or checkpoints (for example, “% of AI projects that completed all required reviews before deployment” or “number of AI-related incidents recorded”). Early monitoring can reveal if some processes are not working well (maybe people are confused or a step is too burdensome) and you can fine-tune. ISO 42001 expects continual improvement, so demonstrate a proactive attitude from the beginning.

For compliance and effective implementation of Clause 4 as a whole, organizations can follow a stepwise approach that ties all sub-clauses together:

  1. Analyze Internal/External Context: Begin with a comprehensive analysis of your organizational context (Clause 4.1). Document the key internal conditions and external factors that will influence your AI management.
  2. Identify Stakeholders and Requirements: List out all relevant interested parties (Clause 4.2) and gather their AI-related requirements or expectations. Determine which of these you will incorporate into your management system.
  3. Define the AIMS Scope: Using insights from the first two steps, establish the scope of your AI Management System (Clause 4.3). Clearly delineate what the AIMS will cover in terms of business units, AI systems, and locations. Document this scope for transparency.
  4. Establish the Management System: With scope defined, implement the processes, controls, and governance structures needed for the AIMS (Clause 4.4). Develop policies, assign roles, allocate resources, and roll out procedures that address the context and stakeholder requirements identified earlier. Ensure that the system is documented and communicated.
  5. Monitor and Refine: Recognize that Clause 4 is not a one-time checklist. Continuously monitor the context for changes (new laws, new stakeholder expectations, etc.), get feedback from stakeholders, and improve the AIMS accordingly. Regularly review whether the scope is still appropriate and whether the management system needs updates as the organization’s AI use grows or changes.
